Terms of Service

1. The agreement

These Terms of Service (“Terms”) are a legal agreement between you and MC Software ltd, a company registered in England and Wales under company number 16230837 (“we,” “us”), governing your use of the EchoAI iPhone application (“the App”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. The licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App on any iPhone that you own or control, for your personal or internal business use, subject to the rules below and the Apple Media Services Terms and Conditions, which also govern your use of any app downloaded from the App Store.

3. What you may not do

You may not:

Copy, modify, reverse engineer, decompile, or create derivative works of the App, except to the extent this restriction is prohibited by applicable law.
Rent, lease, lend, sell, redistribute, or sublicense the App.
Use the App to record any individual without their knowledge or consent where the law of your jurisdiction requires consent. You are solely responsible for ensuring that your use of the App complies with the recording laws that apply to you. Some jurisdictions require all parties to a conversation to consent; others require only one party. Some prohibit recording certain communications altogether. When in doubt, ask.
Use the App for any unlawful purpose, or in any way that infringes the rights of others.

4. Your content

The audio, transcripts, summaries, and notes that EchoAI processes on your device remain entirely yours. We claim no ownership of them, and because the App does not transmit them to us, we receive no licence to them. You are responsible for backing up anything you wish to keep.

5. The App is provided “as is”

To the fullest extent permitted by applicable law, the App is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, accurate, or that defects will be corrected. Transcription and summarization are produced by machine-learning models and may contain errors. Do not rely on the App’s output for decisions where accuracy is critical without independent verification.

6. Limitation of liability

To the fullest extent permitted by applicable law, MC Software ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the App. Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount, if any, that you have paid for the App in the twelve months preceding the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, or for fraud.

7. Updates and availability

We may release updates to the App from time to time. We may also, at our discretion, discontinue the App or any feature of it. We are not obliged to provide support, maintenance, or updates.

8. Termination

These Terms remain in effect for as long as you use the App. You may end them at any time by uninstalling the App. We may end them immediately if you materially breach them.

9. Governing law

These Terms are governed by the laws of England and Wales. You and we submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or relating to these Terms or the App, except that we retain the right to bring proceedings against you for breach of these Terms in the country where you reside.

If you are a consumer resident in the European Union or the United Kingdom, you have the benefit of any mandatory provisions of the consumer-protection law of the country in which you reside, and nothing in this section deprives you of those protections.

10. Changes

We may update these Terms from time to time. The current version is always published at https://mcsoftware.dev/echoai/terms with the effective date shown at the top. Your continued use of the App after changes are published constitutes acceptance of the updated Terms.
